By accessing and using MedFlow AI (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

MedFlow AI is a healthcare appointment management platform that provides automated SMS and email reminders, appointment confirmations, and rescheduling capabilities. The Service is designed for healthcare providers, medical practices, dental offices, and veterinary clinics to reduce no-shows and improve patient engagement.

3. User Responsibilities

As a user of MedFlow AI, you agree to:

• Comply with all applicable laws and regulations, including HIPAA
• Obtain proper patient consent before adding them to the MedFlow AI system
• Maintain confidentiality of your login credentials and account information
• Notify us immediately of any unauthorized access to your account
• Provide accurate and complete information about your practice and patients
• Use the Service only for legitimate business purposes

4. Patient Consent

You are responsible for obtaining all necessary consents from patients before they receive appointment reminders, SMS messages, or other communications through MedFlow AI. You must comply with all applicable telecommunications regulations, including the Telephone Consumer Protection Act (TCPA) and HIPAA requirements.

5. HIPAA Compliance

MedFlow AI is HIPAA-compliant and acts as a Business Associate to healthcare providers. A Business Associate Agreement (BAA) is required for all covered entities. By using MedFlow AI, you agree to comply with HIPAA regulations and maintain the security and privacy of Protected Health Information (PHI).

6. Account Registration

To use MedFlow AI, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your password and are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

7. Pricing and Payment

Our pricing is based on your selected plan:

• Starter: $99/month (up to 500 appointments)
• Professional: $249/month (up to 2,000 appointments)
• Enterprise: Custom pricing (unlimited appointments)

Billing occurs monthly in advance. We accept all major credit cards. You may cancel your subscription at any time, but no refunds are issued for partial months.

8. Free Trial

MedFlow AI offers a 14-day free trial for the Professional plan. No credit card is required to start the trial. Your subscription will begin at the end of the trial period unless you cancel before then. You are responsible for canceling your account if you do not wish to continue after the trial period.

9. Intellectual Property Rights

All content, features, and functionality of MedFlow AI, including but not limited to text, graphics, logos, icons, and software, are the exclusive property of MedFlow AI or its content suppliers and are protected by international copyright, trademark, and other intellectual property laws.

10. Disclaimer of Warranties

MedFlow AI is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the service. To the fullest extent permissible pursuant to applicable law, we disclaim all warranties, expressed or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

11. Limitation of Liability

In no event shall MedFlow AI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses, even if we have been advised of the possibility of such damages.

12. Termination

MedFlow AI reserves the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms of Service or engage in any conduct that violates applicable laws or regulations.

13. Data Security and Breach Notification

MedFlow AI implements industry-standard security measures to protect your data. However, no security system is impenetrable. In the event of a data breach, we will notify affected parties in accordance with HIPAA breach notification rules and applicable state laws.

14. Indemnification

You agree to defend, indemnify, and hold harmless MedFlow AI and its officers, directors, employees, and agents from any claim, damage, loss, or expense arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law.

15. Changes to Terms

MedFlow AI reserves the right to modify these Terms of Service at any time. Changes are effective immediately upon posting to the website. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

16. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
